Who, or what entity, is required to be licensed?

Any person who engages in the business of or acts as a staff leasing company by entering into any staff leasing arrangement with a client relating to business conducted by the client in this state.

  • A person is defined as an individual, association, company, firm, partnership, or corporation.

How do I obtain a license?

Applicant for an unrestricted license must submit a complete application packet and initial application fee along with the following:

  • Certificate of Authority from Tennessee Secretary of State if applicant is a corporation
  • Financial Statement by CPA/public accountant prepared in accordance with Generally Accepted Accounting Principles (“GAAP”) and affected by applicant’s president, chief financial officer, and at least one control person
  • Proof of workers’ compensation insurance (See #5)
  • Copy of license for state of domicile if that state requires a license and a letter of good standing from that state’s regulatory authority


A restricted license may be granted to a staff leasing company domiciled in another state, for limited operation in Tennessee, under the following conditions:

  • The state of domicile provides for licensing of staff leasing companies, the applicant is licensed and in good standing in the state of domicile, the state of domicile provides a similar privilege to staff leasing companies domiciled in Tennessee.
  • The applicant does not maintain an office in Tennessee.
  • The applicant does not maintain a sales force or have a sales representative in Tennessee.
  • The applicant will lease no more than one hundred (100) employees in Tennessee without obtaining an unrestricted license in Tennessee.

What is the fee structure for licensing?

Initial application fees are as follows:

  • Staff leasing company - $250
  • Staff leasing group -  $250
  • Restricted staff leasing company - $100
  • Restricted staff leasing group - $250

Upon being notified of the approval of an application, an applicant shall submit the appropriate license fee listed below:


  • Staff leasing company - $2,000
  • Staff leasing group - $4,000
  • Restricted staff leasing company - $500
  • Restricted staff leasing group - $1,000

Is an exam required for licensing?

No exam is required.

Am I required to maintain workers compensation insurance?

Yes.  All licensed staff leasing companies are required to submit to the commissioner of the Tennessee Department of Commerce and Insurance, within ninety (90) days of the end of each calendar quarter, a certification by an independent certified public accountant or independent public accountant that for such quarter all applicable payroll taxes have been paid on a timely basis.  A certified letter must be received each quarter from licensees who currently have no contracts and who are not providing staff leasing business.

I am licensed in another state and want to operate in Tennessee. Do you have reciprocity agreements with other states? Which states?

As a condition of licensure, any applicant that is not a resident of or is domiciled outside of this state must first be licensed as a staff leasing company or as a staff leasing group in the state in which it is a resident or is domiciled if licensing is required by that state.

How do I renew a license?

Renewal notices are mailed 60 days prior to the date of expiration.  To renew a license, the licensee must return the renewal application, fee, financial statement and sworn statement of compliance no later than thirty (30) days prior to the expiration date of the license.

Renewal fees are as follows:


  • Staff leasing company - $2,000
  • Staff leasing group - $4,000
  • Restricted staff leasing company - $500
  • Restricted staff leasing group - $1,000

How far in advance of expiration date should my renewal be completed?


Renewals must be received thirty (30) days prior to the expiration date.

I let my license expire. How do I have it reinstated?

  • Renewals received after thirty (30) days prior to the expiration date are subject to a $100 penalty for each month or fraction of a month that elapses before payment is tendered.
  • Any person seeking renewal of a license more than six (6) months after a license expires must reapply for licensure.

How do I retire my license?


There is no retirement status.

Can I change my license to inactive status?

No.  However, you may “voluntarily surrender” your license by returning the license (certificate) to the State of Tennessee, Division of Regulatory Boards, accompanied by a certified letter from the owner / license holder declaring that operations in Tennessee have ceased.

How do I reactivate my surrendered license?

You must reapply for the license and meet all requirements as a new applicant.

Your status will change online the business day after it is processed and approved by our office.

Yes, written notification must be submitted.

No, only renewals may be processed online at this time.

How do I file a complaint against a company/individual?


Complete and submit a complaint form. You can download a form or file or request a form at 615 741-1741.

What happens after I file a complaint?

Your complaint will be processed by our complaint coordinator who will forward a copy to the company, or individual complained against, for their response(s).  The response will reviewed to determine if further investigation or disciplinary action by the Employee Leasing Regulatory Program may be necessary.  The complaint will be forwarded to legal counsel with or without a response.

What can the State of Tennessee do if I have a legitimate grievance?

If you have a grievance against a person or business regulated by the Employee Leasing Regulatory Program, you can file a complaint with our office or may consider consulting legal counsel.

If your grievance is deemed legitimate, disciplinary sanctions may be sought against a person or business regulated by the Employee Leasing Program. This could include civil penalties or the suspension or revocation of license.  In all instances, however, the State of Tennessee does not represent or advocate for your private interests.  The state pursues matters believed to be in the best interests of the public.
